What is One Person Company (OPC)?
One Person Company (OPC) is a newly introduced concept in the Company’s Act 2013, and, “one person company means a company which has only one person as a Shareholder.” An OPC is a hybrid structure, wherein it conglomerates most of the benefits of a sole proprietorship and a company form of business. It is important to note that section 3 classifies OPC as a private company for all legal purposes with only one member. All the provisions related to the private company apply to an OPC, unless otherwise expressly excluded.
Minimum Requirement
OPC has only one person as a member/ shareholder. However, the appointment of the nominee director is mandatory.
Registration Process
The First Step is to obtain the Digital Signature Certificate (DSC) of the proposed Director as all the forms to be uploaded have to be signed digitally.
The next step is to make an application for the Director Identification Number (DIN) of the proposed Director in SPICe Form along with the name and the address proof of the director.
The next step while incorporating an OPC is to choose any unique name of the Company. There are two name choices offered for getting a name approved by making applications in SPICe Form or by using the RUN Web service of MCA Ministry has decided to allow two proposed names and one re-submission (RSUB) while reserving Unique Names (RUN Service) for the Companies with effect from March 23, 2018.
Finally, SPICe Form along with the necessary required attachments affixed with the DSC of the Director and the professional are uploaded to the MCA site for approval of the registrar.
After verification, the Registrar of Companies (ROC) issues a Certificate of Incorporation and we can commence our business after fulfilling other necessary compliances.
